Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Shopper service (“Service”) operated by Metric Mentor Labs, LLC (“MML,” “we,” or “us”) at shopper.metricmentorlabs.com. By accessing the Service, you agree to these Terms.

1. About the Service

Shopper is an internal tool operated by MML on behalf of a contracted client (the “Client”) to conduct mystery shopping evaluations of the Client’s franchise locations. The Service is not available for public sign-up and is made available only to authorized MML personnel and authorized representatives of the contracted Client.

2. Authorized Use

You may use the Service only if you are an authorized MML employee, contractor, or Client representative who has been expressly granted access. You agree to:

• Access only the accounts, data, and locations that have been assigned to you.
• Use the Service solely for the mystery shopping purposes described in your engagement.
• Not share credentials, attempt to circumvent access controls, or use the Service to harass, defraud, or harm any person or business.
• Comply with all applicable laws, carrier rules, and platform terms.

3. Messaging Use

Communications (SMS, voice, voicemail, email) generated by the Service are sent for market research and mystery shopping purposes only, and only to locations operated by the contracted Client. Recipients may reply STOP to opt out of further SMS messages from any number operated by the Service, or contact support@metricmentorlabs.com to request removal.

4. Intellectual Property

The Service, including its software, design, and content, is owned by MML or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights other than the right to access and use the Service as described.

5. Confidentiality

Information you access through the Service, including conversations, transcripts, metrics, and location data, is confidential. You may not disclose it outside of your authorized engagement without our prior written consent.

6. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. MML does not warrant that the Service will be uninterrupted, error free, or that data will be accurate or complete.

7. Limitation of Liability

To the maximum extent permitted by law, MML will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. MML’s total cumulative liability under these Terms will not exceed the amounts paid by you, if any, to MML for the Service in the twelve months preceding the event giving rise to the claim.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including any breach of these Terms. Upon termination, your right to use the Service will immediately cease.

9. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms will be resolved in the state or federal courts located in Bergen County, New Jersey, and the parties consent to the exclusive jurisdiction of those courts.

10. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the effective date at the top of this page. Continued use of the Service after changes constitutes acceptance.
